Terms of Service

Welcome to NeonPing. These Terms of Service ("Terms") govern your use of the NeonPing website at neonping.com and our AI-powered commerce and messaging platform (collectively, the "Services"). By registering an account or hooking up your Shopify store, you agree to be bound by these Terms.

1. Service Description

NeonPing is an artificial intelligence platform designed to integrate with your Shopify store and Meta's WhatsApp Business API. It acts on your behalf to read live inventory, interact with your customers ("End-Users") in natural language, and generate secure checkout links. NeonPing does not process payments directly, process fulfillment, or handle customer support outside the bounds of pre-purchase inquiries.

2. Shopify & Target Platform Integration

To operate, NeonPing requires read-access to your Shopify inventory and write-access to draft orders. You represent and warrant that you hold all necessary rights and permissions from your End-Users to permit NeonPing to interact with them on your behalf. We are not responsible for downtime caused by Shopify API outages or WhatsApp API rate limits.

3. Acceptable Use Policy

Because NeonPing operates over WhatsApp, maintaining trust is critical. You agree not to use the Service for:

  • Transmitting spam, unsolicited promotional broadcasts, or messages that violate the WhatsApp Business Solution Terms.
  • Selling prohibited items natively restricted by Meta, including illegal drugs, weapons, highly regulated substances, or counterfeit goods.
  • Impersonating another merchant or engaging in deceptive trade practices.

Failure to comply with these rules will result in immediate suspension of your NeonPing account without refund.

4. AI Autonomy and Liability Limitations

NeonPing utilizes Large Language Models (LLMs) to engage in dynamic conversations. Due to the probabilistic nature of AI, the system may occasionally produce inaccurate, unexpected, or unhelpful responses ("AI Hallucinations").

Limitation of Liability: NEONPING IS PROVIDED "AS IS". TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEONPING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES OUT OF ANY DISPUTE ARISING FROM AI-GENERATED TEXT. This includes instances where the AI misstates a product application, misquotes a refund policy, or temporarily confuses inventory levels. It is your responsibility to review transcripts and maintain reasonable human oversight over your store's WhatsApp interactions.

5. Payment and Subscription

Fees for utilizing NeonPing are billed on a subscription basis or via usage-based pricing models (e.g., per-message blocks). By providing your payment information, you authorize us to charge you automatically on your renewal date. All fees are non-refundable after the term has commenced. We reserve the right to modify our pricing structure with thirty (30) days' notice.

6. Intellectual Property

The Service, its original code, underlying AI routing algorithms, features, and functionality are and will remain the exclusive property of NeonPing and its licensors. You retain full ownership over your brand IP, product descriptions, and Shopify data.

7. Termination

We may terminate or suspend your access to the Services immediately, without prior notice, for any reason whatsoever, including without limitation if you breach the Terms or violate Meta's WhatsApp Policies. Upon termination, your right to use the Service will immediately cease.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
